As long as iTunes identifies the two iPhones correctly, 3GS and 5, just do an Restore to factory default on the 3GS.
To be on the safe side, search Apple support for what to do when you sell an iPhone. You might have another step to do so it allows her to use it with the iTunes Store, like to un-authorize it from your account.
